1. validity and contractual basis
These terms and conditions of sale and delivery apply to all deliveries, services and
maintenance contracts of bürgi.com AG and form an integral part of the respective
contractual relationship. Any deviating terms and conditions of the customer shall only be valid,
if they have been expressly acknowledged in writing by bürgi.com AG.
Subsidiary agreements and amendments must be made in writing.
2. quotations and conclusion of contract
Our quotations are non-binding and are valid for a period of 30 days from the date of issue of
. We expressly reserve the right to make technical changes, in particular with regard to design,
execution and material. A contract is only concluded by
our written order confirmation or by the actual execution of the
delivery or service. The scope and content of the delivery shall be governed exclusively by
the respective order confirmation. Details in catalogs, price lists or
other documentation are for information purposes only and are non-binding.
3. prices
All prices are quoted in Swiss francs (CHF), excluding VAT,
plus packaging, transportation and any ancillary costs. Our prices are based on
the costs applicable at the time the offer is made. We reserve the right to change
prices, in particular in the event of cost increases by suppliers, changes in
material or labor costs, changes in exchange rates or legal adjustments.
Additional work not included in the offer will be invoiced according to actual expenditure
in accordance with our valid hourly rates.
4. payment
Payments are to be made within ten days of the invoice date, strictly net and without deductions to
. We reserve the right to make the following payments on account for projects: 30% on order,
30% on delivery, 30% on commissioning and 10% on final invoice. In the event of
late payment, we reserve the right to charge default interest of 5% per annum. A reminder fee of CHF 20 will be charged from the

has received full payment of the outstanding amounts.

5. delivery and transfer of risk
Delivery is made at the expense and risk of the buyer. The transfer of risk takes place
with the handover to the transport company, even in the case of carriage paid deliveries. Delivery dates
are non-binding unless they have been expressly confirmed in writing.
Partial deliveries are permitted.
6. retention of title
The delivered goods remain the property of bürgi.com AG until full payment has been received. We
reserve the right to have the retention of title entered in the relevant register.
7 Warranty bürgi.com AG guarantees the professional execution of maintenance and service work by qualified specialist personnel. The agreed maintenance intervals
are adhered to in accordance with the contractual agreements.
The warranty conditions of the respective
manufacturer apply to delivered material. A further guarantee by bürgi.com AG only exists if
this has been expressly assured in writing. In this case, the warranty – unless otherwise agreed by
– is limited to a maximum of twelve months from the date of delivery.
The warranty expires in the event of improper use, modifications to the
system or maintenance, repair or other interventions by the customer or by
third parties not authorized by bürgi.com AG.
Another prerequisite for a warranty claim is that the maintenance of the system is carried out in accordance with
our specifications. If maintenance work is not carried out or is carried out by third parties not authorized by
, no warranty claim can be made

8. notification of defects and warranty
The customer is obliged to inspect the delivery immediately upon receipt and to report any
defects in writing within five working days. If
is not notified in due time, the delivery shall be deemed approved. In the event of justified defects, we shall repair or replace the goods at our
discretion.
9. returns
Returns are only permitted with the prior written consent of bürgi.com AG
. Faultless stock items will be credited with a maximum of 75% of the invoiced value
. Custom-made products, lock cylinders, keys and non-stock
items are excluded from returns
10. confidentiality
The contractor undertakes to maintain strict confidentiality regarding all information that becomes known to
in the course of the cooperation. This obligation also applies
beyond the duration of the contractual relationship.
11. liability
The liability of bürgi.com AG is limited to the proper execution of the
agreed work. Any further claims, in particular for indirect damage,
consequential damage, loss of profit or costs resulting from false alarms or deployments
of police, fire department or security services, are excluded to the extent permitted by law
. The maximum liability is limited to the respective order value.
12. storage of documents
Installation-relevant data, programming information and documents are archived by
bürgi.com AG. They shall be stored for a maximum of five years after termination
of the contractual relationship, unless statutory provisions require longer
storage.
13. planning and service work
Planning, project planning and coordination services shall be invoiced at actual cost
in accordance with the applicable hourly rates of bürgi.com AG. The invoiced time
includes working time on site as well as travel time to and from the site. In addition,
kilometers driven will be charged according to travel zones.
14. force majeure
Events of force majeure such as natural disasters, strikes, war, official orders
or delivery bottlenecks release bürgi.com AG from the obligation to deliver and perform for the duration and scope of the
effects.
15. place of jurisdiction and applicable law
The place of performance and exclusive place of jurisdiction is the registered office of bürgi.com AG in
Birsfelden. Swiss law shall apply exclusively. Should a provision
of these terms and conditions be invalid, this shall not affect the validity of the remaining provisions
.
